1. ACCEPTANCE OF TERMS
These Terms and Conditions govern your access to and use of our resale pricing intelligence platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.The Service is operated by Kelp Technologies Limited, trading as TRUSS ("we", "us", or "our"), a company registered in the United Kingdom. By using our Service, you also agree to comply with all applicable laws and regulations of the United Kingdom and your jurisdiction.
2. DESCRIPTION OF SERVICE
Our Service provides resale pricing intelligence for second-hand fashion items. The Service allows you to:

• Search for items using image upload functionality
• Receive pricing recommendations based on market data
• Access active listings and recent sales data
• View pricing trends and market analytics
• Analyse vendor and location data (on applicable plans)
• The Service aggregates data from multiple third-party sources and marketplaces to provide pricing intelligence.

We continuously update our data sources to maintain accuracy and relevance.
Users may be asked for, as appropriate, name, email address, mailing address, phone number, and payment information. Users may, however, visit our Site anonymously. We will collect personal identification information from Users only if they voluntarily submit such information to us.
3. DATA SOURCES AND ACCURACY
3.1 Data Collection

We collect pricing and product data from various sources, including but not limited to online marketplaces, auction sites, and retail platforms. Data is obtained through a combination of third-party data providers, publicly available information, and automated data collection technologies.

3.2 No Guarantee of Accuracy

The pricing information, market data, and recommendations provided through the Service are for informational purposes only. We make no representations or warranties regarding:

• The accuracy, completeness, or timeliness of any data
• The suitability of pricing recommendations for your specific circumstances
• The availability or accuracy of third-party data sources
• Real-time pricing or immediate reflection of market changes

You acknowledge that pricing data may become outdated, market conditions change rapidly, and actual selling prices may vary  from our recommendations.

3.3 Third-Party Data

We obtain data from various third-party sources. We are not responsible for the accuracy, legality, or availability of third-party data. Third-party sources may change their data availability, structure, or terms of use at any time, which may affect the Service.
4. USER ACCOUNTS AND REGISTRATION
To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 16 years old to create an account and use the Service. We reserve the right to refuse service or terminate accounts at our sole discretion.
5. SUBSCRIPTION PLANS AND PRICING
5.1 Subscription Tiers

We offer the following subscription tiers:

‍Free Plan: £0 per month

• Includes 20 valuations per month

‍Basic Plan: £120 per month

• Includes 300 valuations per month
• Additional valuations: £0.32 each

Features: Basic dashboard access, image search, price recommendation, active listings and recent sales, 90-day pricing trends

‍Advanced Plan: £1,000 per month

•Includes 3,500 valuations per month
•Additional valuations: £0.24 each

Features: Advanced dashboard access, sell-through rate predictions, vendor and location analysis, 6-month pricing trends

‍Enterprise Plan: Custom per month

Features: All Advanced features plus enhanced data access, priority support, and extended analytics

‍5.2 Pricing Changes We reserve the right to modify our subscription fees at any time. Price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.

‍5.3 Usage Limits Each subscription plan includes a monthly allocation of valuations. If you exceed your monthly allocation, overage charges will apply at the rates specified for your plan. Usage resets at the beginning of each monthly billing cycle and unused valuations do not roll over.
6. PAYMENT TERMS
6.1 Billing

‍
Subscription fees are billed monthly in advance on the date you subscribe or on your monthly renewal date. You authorise us to charge your designated payment method for all fees incurred. All prices are in British Pounds (GBP) and include applicable VAT.

‍6.2 Payment MethodsWe accept payment via credit card, debit card, and other payment methods as made available through our payment processing partners. You must provide current, complete, and accurate payment information. You are responsible for all charges incurred under your account.

‍6.3 Failed PaymentsIf a payment fails, we will attempt to process the payment again. If payment cannot be collected after reasonable attempts, we reserve the right to suspend or terminate your account. You remain responsible for any uncollected amounts.

‍6.4 Cancellation and RefundsYou may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. We do not provide refunds for partial months or unused valuations, except:

•During the 14-day free trial period
•As required by applicable consumer protection laws
•At our sole discretion in exceptional circumstances

In accordance with the UK Consumer Rights Act 2015, you have the right to cancel within 14 days of subscribing for a full refund, provided you have not extensively used the Service during this period.
7. DATA COLLECTION AND PRIVACY
7.1 Personal Data

We collect and process personal information including your name, email address, payment information, and usage data. We process this data in accordance with UK data protection laws, including the UK GDPR and Data Protection Act 2018. ‍7.2 Uploaded Images

When you upload images to use our image search functionality, we process these images to provide pricing recommendations. We automatically filter and omit images containing identifiable people. We retain uploaded images only as necessary to provide the Service and in accordance with our Privacy Policy. You retain all ownership rights to images you upload.

‍7.3 No Sale of Personal Data

‍
We do not sell, rent, or trade your personal information to third parties for their marketing purposes. We may share data with service providers who assist in operating the Service, but only to the extent necessary and under strict confidentiality obligations.

Under UK data protection law, you have rights including:

• Right to access your personal data
• Right to rectification of inaccurate data
• Right to erasure in certain circumstances

8. INTELLECTUAL PROPERTY

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms.

‍8.2 Third-Party ContentProduct images, descriptions, and pricing data displayed through the Service may be owned by third parties or be subject to third-party rights. We display this content for informational purposes only. You may not copy, reproduce, or redistribute third-party content without appropriate authorisation.

‍8.3 User ContentYou retain ownership of images and content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free licence to use, process, and display your content solely for the purpose of providing the Service to you.
9. API AND DATA USAGE RESTRICTIONS
9.1 Permitted Use of Data

Data provided through the Service is licensed to you solely for real-time viewing, analysis, and decision-making purposes within the Service interface or your integrated systems. You may NOT:

•Download, extract, or systematically copy pricing data, product information, images, or any other data from the Service
•Store or cache any data obtained from the Service for longer than 24 hours
•Create, maintain, or populate any database, dataset, or data repository with data from the Service
•Build derivative databases or data products using data from the Service
•Aggregate data from the Service with other data sources for redistribution
•Use data from the Service to train machine learning models or AI systems (except for your own internal business use)

‍9.2 Storage Restrictions:

You may temporarily cache data obtained from the Service for a maximum of 24 hours solely for the purpose of displaying that data to end users. After 24 hours, all cached data must be deleted and refreshed from the Service. You may NOT:

•Store historical data beyond 24 hours
•Create archives or snapshots of pricing data
•Maintain any permanent record of data obtained from the Service
•Export data to external systems or files for storage

‍9.3 Rate Limits and API Usage

If you access the Service via API or integration:

•Standard rate limit: 100 requests per minute per account
•Burst limit: 500 requests per 5-minute period
•Daily limit: Varies by subscription tier (aligned with monthly valuation allocations)
•You must implement appropriate retry logic with exponential backoff
•You must not attempt to circumvent or exceed rate limits through multiple accounts or technical means

Excessive API usage, including but not limited to automated bulk downloads, systematic data extraction, or attempts to exceed rate limits, will result in:

•Temporary throttling or suspension of API access
•Additional charges for excessive usage
•Permanent termination of your account for repeated violations

‍9.4 Prohibited Technical Activities

You expressly agree NOT to:

•Use web scrapers, bots, spiders, or automated tools to access the Service without explicit written permission
•Bypass, circumvent, or disable any technical protection measures, rate limits, or access controls
•Use multiple accounts to aggregate data or circumvent usage limits
•Employ proxies, VPNs, or IP rotation to evade detection or rate limiting
•Access the Service through any means other than our official interfaces
•Reverse engineer, decompile, or derive the source code of our algorithms or pricing models
•Monitor availability, performance, or functionality for competitive purposes
•Probe, scan, or test vulnerabilities in the Service

‍9.5 Data Redistribution ProhibitionYou may NOT:

• Resell, sublicense, or redistribute data from the Service in any formP
•rovide access to Service data to third parties (except employees with legitimate need)
•Display Service data on public websites or third-party platforms
•Share API credentials or account access with external parties
•Use the Service to provide pricing services to third parties
•Incorporate Service data into products or services offered to others (except through authorized white label partnerships)

‍9.6 Monitoring and Enforcement

We actively monitor usage patterns, API calls, and data access. We employ technical measures to detect and prevent misuse including:

•Automated detection of bulk downloading or systematic extraction
•Rate limiting and throttling mechanisms
•Account activity monitoring and anomaly detection
•IP-based access controls and geofencing

Violations will result in immediate account suspension and may result in:

•Permanent termination without refund
•Legal action to recover damages
•Injunctive relief to prevent continued misuseCriminal prosecution where applicable
10. GENERAL USER RESPONSIBILITIES AND PROHIBITED USES
In addition to the API and data usage restrictions in Section 9, you agree not to:

•Use the Service for any unlawful purpose or in violation of these Terms
•Attempt to gain unauthorised access to the Service, user accounts, or related systems
•Interfere with, disrupt, or impose unreasonable load on the Service, servers, or networks
•Upload images containing illegal content, pornography, hate speech, or content that infringes others' rights
•Upload images depicting minors or individuals without appropriate consent
•Use the Service to harass, abuse, or harm others
•Impersonate any person or entity or misrepresent your affiliation
•Share your account credentials with others or allow unauthorized access
•Engage in any activity that violates applicable laws or regulations
•Use the Service in any manner that could damage, disable, or impair the Service

Violation of these restrictions may result in immediate termination of your account, legal action, and liability for damages.
11. WHITE LABEL PARTNERSHIPS
We offer white label partnership opportunities to embed our pricing intelligence into third-party products. White label arrangements are governed by separate agreements and are not covered by these standard Terms. If you are interested in a white label partnership, please contact our sales team.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law:

•The Service is provided "as is" without warranties of any kind, either express or implied
•We do not warrant that the Service will be uninterrupted, error-free, or secure
•We are not liable for business decisions made based on data from the Service
•We are not responsible for losses resulting from inaccurate pricing recommendations
•We are not liable for third-party data source changes or unavailability
•Our total liability for any claim shall not exceed the amount you paid in the 12 months preceding the claim
•We shall not be liable for any indirect, incidental, consequential, or punitive damages

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UK law.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Kelp Technologies Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you upload to the Service.
14. TERM AND TERMINATION
These Terms remain in effect until terminated by either party. You may terminate by cancelling your subscription. We may suspend or terminate your access immediately, without notice, for any reason including breach of these Terms, fraudulent activity, or at our discretion.Upon termination: (a) your right to access the Service ceases immediately; (b) you remain liable for all fees incurred prior to termination; (c) we may delete your account data after a reasonable period. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
15. MODIFICATIONS TO SERVICE AND TERMS
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, we encourage you to contact us to attempt to resolve any disputes informally. We commit to working in good faith to resolve complaints and disputes.
17. MISCELLANEOUS
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kelp Technologies Limited regarding the Service.

‍Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

‍Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

‍Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

‍Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

‍No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
